Terms of Service

1. Service Description

ThynkFile is a web-based software service that converts Trial Balances into Schedule III compliant financial statements and ROC filing packages (including XBRL, Board's Report, and AOC-4 form data) for Indian companies. The service is provided by Oris Intelligence Private Limited (“Oris Intelligence,” “we,” “us”).

ThynkFile is a tool to assist Chartered Accountants. It does not replace professional judgement. The CA is responsible for reviewing all generated outputs before filing with regulatory authorities.

2. Account Responsibilities

You are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account. You must notify us immediately at security@meetoris.com if you suspect unauthorised access.

Each account belongs to a firm. The firm admin controls user access, roles, and permissions. You must ensure that all users in your firm comply with these terms.

3. Acceptable Use

You agree to use ThynkFile only for its intended purpose: generating financial statements and ROC filing packages for companies you are authorised to serve. You must not:

• Upload data for companies you are not authorised to represent
• Attempt to access other firms' data or bypass access controls
• Use the service for money laundering, fraud, or any illegal purpose
• Reverse-engineer, scrape, or attempt to extract the underlying algorithms
• Resell access to ThynkFile without written authorisation from Oris Intelligence

4. Data Ownership

You retain all rights to your financial data. The Trial Balances you upload, the financial statements we generate, and the filing packages we produce are your property (or your client's property, as applicable). We do not claim any ownership over your data.

We use your data solely to provide the service. We do not sell, share, or monetise your financial data. We do not use your financial data to train AI models. See our Privacy Policy for full details.

5. AI Usage Disclosure

ThynkFile uses artificial intelligence (via the ORIS AI layer) for GL account classification. AI is used as one layer of a three-layer classification engine. AI never sees financial amounts — only GL account names and debit/credit directions.

AI classifications are suggestions. Every AI decision shows confidence scores and reasoning. CAs must review and confirm all mappings before generating final statements. Enterprise customers can opt out of AI entirely.

6. Billing Terms

ThynkFile offers four tiers: Free, Starter (₹1,499/month), Professional (₹3,999/month), and Enterprise (₹9,999/month). Annual billing provides a 20% discount. All prices are in Indian Rupees and exclude GST.

Payments are processed by Razorpay. By subscribing, you authorise recurring payments. You can cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period. We do not offer pro-rata refunds for partial months.

If you exceed your included statements, overage charges apply at your tier's rate (Starter: ₹99, Professional: ₹79, Enterprise: ₹59 per additional statement). Overage is billed at the end of each billing cycle.

7. Service Level Agreement

We target 99.5% uptime for the ThynkFile application, measured monthly. Scheduled maintenance windows (communicated 48 hours in advance) are excluded from uptime calculations. If we fail to meet this target in any month, affected paying customers may request a service credit.

We provide email-based support for all tiers. Starter and Professional tier customers receive responses within 24 business hours. Enterprise customers receive priority support with 4-hour response during business hours (IST, Monday–Saturday).

8. Limitation of Liability

ThynkFile is a tool to assist professional Chartered Accountants. We do not guarantee that generated outputs are error-free. The CA is responsible for reviewing all outputs before submission to regulatory authorities.

To the maximum extent permitted by Indian law, Oris Intelligence' total liability for any claims arising from your use of ThynkFile is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, penalties imposed by regulators, or reputational harm.

9. Intellectual Property

The ThynkFile software, algorithms, classification engine, taxonomy mappings, templates, documentation, and brand are the intellectual property of Oris Intelligence Technologies Pvt Ltd. Your subscription grants you a non-exclusive, non-transferable licence to use the service for the duration of your subscription.

10. Termination & Data Export

You can cancel your subscription at any time. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• You can export all your data during this period (one-click full export)
• After the billing period ends, your data is retained for 30 days, then permanently deleted
• You can request immediate data deletion at any time

We may suspend or terminate your account if you violate these terms, fail to pay, or if required by law. We will provide 30 days notice where possible and always allow data export before deletion.

11. Governing Law & Jurisdiction

These terms are governed by the laws of India. Any disputes arising from or related to these terms or your use of ThynkFile shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

12. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email to the account owner at least 30 days before they take effect. Continued use of ThynkFile after the effective date constitutes acceptance.
